Members' Written Resolutions

These written resolutions provide templates by which a single resolution, or multiple resolutions, whether ordinary or special, may be proposed by the members of a company and passed using the written resolution procedure under the Companies Act 2006.

When members propose a written resolution, under section 292 of the Companies Act 2006, they may have the option to request the company distribute an explanatory statement of up to 1,000 words regarding the resolution's subject matter. This template offers a structured format for crafting such a statement.
