Demand Letter to Shareholders Requiring Information for Register of Members (s.113 F CA 2006) 
The Economic Crime & Corporate Transparency Act 2023 (ECCTA) received Royal Assent on 26th October 2023 and aims to increase corporate transparency as well as the usefulness of the information that is held on shareholders.
As a core purpose of a company’s register of members is to provide details of its ownership, the Companies Act 2006 (as amended by the ECCTA) has introduced a requirement that companies must record the full names of shareholders in the register of members and a service address (s.113A CA 2006). To facilitate this, a company has the power to require this information from members (s.113F CA 2006) and may provide them with a notice to this effect. The member will have one month from the date of the notice in which to comply. Failure to supply the information or the making of a false statement in relation to it, will be a criminal offence.
This template letter can be sent to shareholders requesting this information. There is an accompanying pro-forma reply letter which should be sent with this letter. The shareholder should send this back to the company with the requested information included.
